4.Biddersshallmeetthefollowingqualificationrequirements:

(1)TheBidderanditsServicePartner(ifany)shallbelegalpersonsorotherorganizationsfromthePeople'sRepublicofChina(“thePRC”)orcountries/regionshavingnormaltraderelationswiththePRC,legallyestablishedinaccordancewiththelawsoftheirowncountries/regions,legallyandfinanciallyindependent,legallyoperating,andindependentfromtheTendereeand/ortheTenderingAgent;
(2)TheBiddershallhavetheauthoritytosigncontractsindependentlyandcapableoffullyperformingthecontracts;
(3)EachoftheBidderanditsServicePartner(ifany)shallhavenotbeeninvestigatedorpunishedbyanycourtorregulatoryagencyforviolationsoflawsorregulationsinthepastthree(3)years(FromAugust22nd,2021tothedeadlineforBidsubmission);
(4)TheBidder(andnottheindividuallawyer(s)employedbytheBidder)shallberankedon“Chambers”,“TheLegal500”or“IFLR1000”inthepracticeareasofinvestmentfunds,privateequityinvestment,orM&Ainanyyearfrom2021to2024;

2.Regardingconfidentialinformation,weherebypromise:

(1)Weagreetotakeallnecessarymeasuresatourownexpensetoproperlypreserveandreasonablyusetheconfidentialinformation,andtokeepitstrictlyconfidential.
(2)ExceptforthenecessaryProjectparticipantsandinternalmanagersresponsibleforBiddingProjectreview,evaluationandsupervision,nootherpersonnelfromoursideareallowedtohaveaccesstoorbeinformedofrelevantconfidentialinformation.Wecommittocausingallofourinformedpersonneltoadheretotheconfidentialityobligationsunderthisconfidentialitycommitmentletter,andholdourpersonnelaccountableforanybreachoftheconfidentialitycommitmentletter.
(3)TheconfidentialinformationobtainedbyuswillonlybeusedforthepurposeoftheBiddingProject.WithoutthepriorwrittenconsentofCICanditsofficiallyentrustedinstitutions,wepromisenottodisclosetheconfidentialinformationtoanythirdpartyinanyform(includingbutnotlimitedtodirectorindirect,expressorimplied,intentionalornegligent,tangibleorintangibleways),andweshallnotusetheconfidentialinformationforourownbenefitorforthebenefitofanythirdparty.

3.UnlessCICterminatesthisconfidentialitycommitmentletterinwritteninstrument,ourobligationshereunderwillremainineffect.

4.Weagreethatthisconfidentialitycommitmentletterandallmattersarisingoutofandrelatedtothisconfidentialitycommitmentletter(whetherincontract,tortorothers)shallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Ifweorourpersonnelviolatethiscommitmentletter,CICshallhavetherighttoholdusaccountableinaccordancewiththelaw.Ifthepartiesareunabletosettleanydisputearisingoutoforinconnectionwiththisconfidentialitycommitmentletterthroughnegotiationwithin30days,suchdisputeshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission("CIETAC")forarbitrationinBeijing,subjecttoitsrulesofarbitrationineffectatthetimeofthesubmissiontoarbitration,unlessotherwiseexpresslyprovidedherein.Thearbitraltribunalshallconsistofthreearbitrators,eachpartyshallappointonearbitratorandthethirdarbitratorshallbeappointedbybothpartieswithmutualagreementasthepresidingarbitrator.IfnoagreementcanbereachedwithinthetimeperiodrequiredbyCIETAC,thepresidingarbitratorshallbeappointedbytheChairmanofCIETAC.Thearbitralawardshallbefinalandbindinguponbothparties.

3.本招標(biāo)項目不接受聯(lián)合體遞交投標(biāo)文件。
4.投標(biāo)人應(yīng)符合以下資格要求：
第1包：基金、跟投賬戶和跟投項目法律服務(wù)
(1)投標(biāo)人和合作伙伴（如有）應(yīng)為來自中華人民共和國或是與中華人民共和國有正常貿(mào)易往來的國家（略）的法人或其他組織，按照所在國家（略）的法律依法成立，在法律和財務(wù)上獨立、合法運作，并獨立于招標(biāo)人：（略）
(2)投標(biāo)人應(yīng)具有獨立簽訂合同的資格和完全履行合同的能力；
(3)投標(biāo)人和合作伙伴（如有）近三年（自2021年8月22日起至投標(biāo)截止日）沒有因違法違規(guī)受法院、監(jiān)管機構(gòu)等的調(diào)查、處罰；

(5)投標(biāo)人具有開展美國、英國（倫敦執(zhí)（略））和香港特別（略）法律業(yè)務(wù)的執(zhí)業(yè)許可，可就美國、英國（倫敦執(zhí)（略））和香港特別（略）的相關(guān)事項出具法律意見，投標(biāo)人擁有美國稅法領(lǐng)域的專業(yè)服務(wù)能力。
第4包：常年法律服務(wù)（離岸）
(1)投標(biāo)人應(yīng)為來自中華人民共和國或是與中華人民共和國有正常貿(mào)易往來的國家（略）的法人或其他組織，按照所在國家（略）的法律依法成立，在法律和財務(wù)上獨立、合法運作，并獨立于招標(biāo)人：（略）

公告附件2：信息保密承諾函

1、公司及其正式委托的機構(gòu)提供給我方、（略）或本招標(biāo)項目有關(guān)的非公開信息（包括書面或非書面形式），以及我方在該等信息基礎(chǔ)上生成的任何衍生信息，屬保密信息。盡管有本保密承諾函中任何相反的規(guī)定，下列信息不會被認(rèn)為是保密信息：如果該信息（1）在公司披露前就被我方在非保密的基礎(chǔ)上擁有；（2）不是因為我方對本保密承諾函或其它保密義務(wù)的違反而成為公眾知曉的信息；或者（3）（略）以外的信息源獲得的，（略）負(fù)有的法律的、合同的或信義義務(wù)所禁止。

2、對于保密信息，我方在此承諾：

（1）我方同意自行承擔(dān)費用采取所有必要的措施，將保密信息進行妥善保存和合理使用，并嚴(yán)格保密。
（2）除必要的本招標(biāo)項目參與人員及我方內(nèi)部負(fù)責(zé)本招標(biāo)項目審核、評估、監(jiān)督的管理人員外，我方其他人員一律不得接觸或獲悉相關(guān)保密信息，且我方承諾要求我方所有知情人員遵守本保密承諾函下的保密義務(wù)，并對我方人員的任何違反本保密承諾函的行為負(fù)責(zé)。
（3）我方取得的保密信息僅限于本招標(biāo)項目投標(biāo)之目的使用，（略）及其正式委托的機構(gòu)事先書面同意，我方承諾不以任何形式向（包括但不限于通過或采用直接或間接、明示或默示、故意或過失、有形或無形的方式：（略）

4、我方同意，本保密承諾函、因本保密承諾函產(chǎn)生的和與本保密承諾函相關(guān)的所有事宜（無論合同的、侵權(quán)的或其它）受中華人民共和國法律管轄，并依中華人民共和國法律解釋。如我方或我方人員違反本承諾函，公司有權(quán)依法追究我方責(zé)任。如果雙方無法在30日內(nèi)通過談判解決因本保密承諾函產(chǎn)生的或與本保密承諾函相關(guān)的任何糾紛，則該等糾紛應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會（“CIETAC”）在北京進行仲裁。除非本信函另有明確規(guī)定，仲裁應(yīng)依據(jù)在提交仲裁時有效的CIETAC仲裁規(guī)則進行。仲裁庭應(yīng)由三位仲裁員組成；各方當(dāng)事人應(yīng)任命一名仲裁員，第三名仲裁員應(yīng)由雙方當(dāng)事人商定并擔(dān)任首席仲裁員。如果在CIETAC規(guī)定的時間內(nèi)無法達(dá)成一致，則首席仲裁員應(yīng)由CIETAC的主席任命。仲裁裁定具有終局性，并對雙方當(dāng)事人具有約束力。
