(2)TheBiddershallhavetheauthoritytosigncontractsindependentlyandcapableoffullyperformingthecontracts;
(3)EachoftheBidderanditsServicePartner(ifany)shallhavenotbeeninvestigatedorpunishedbyanycourtorregulatoryagencyforviolationsoflawsorregulationsinthepastthree(3)years(FromAugust22nd,2021tothedeadlineforBidsubmission);

2.Regardingconfidentialinformation,weherebypromise:
(1)Weagreetotakeallnecessarymeasuresatourownexpensetoproperlypreserveandreasonablyusetheconfidentialinformation,andtokeepitstrictlyconfidential.
(2)ExceptforthenecessaryProjectparticipantsandinternalmanagersresponsibleforBiddingProjectreview,evaluationandsupervision,nootherpersonnelfromoursideareallowedtohaveaccesstoorbeinformedofrelevantconfidentialinformation.Wecommittocausingallofourinformedpersonneltoadheretotheconfidentialityobligationsunderthisconfidentialitycommitmentletter,andholdourpersonnelaccountableforanybreachoftheconfidentialitycommitmentletter.
(3)TheconfidentialinformationobtainedbyuswillonlybeusedforthepurposeoftheBiddingProject.WithoutthepriorwrittenconsentofCICanditsofficiallyentrustedinstitutions,wepromisenottodisclosetheconfidentialinformationtoanythirdpartyinanyform(includingbutnotlimitedtodirectorindirect,expressorimplied,intentionalornegligent,tangibleorintangibleways),andweshallnotusetheconfidentialinformationforourownbenefitorforthebenefitofanythirdparty.
3.UnlessCICterminatesthisconfidentialitycommitmentletterinwritteninstrument,ourobligationshereunderwillremainineffect.
4.Weagreethatthisconfidentialitycommitmentletterandallmattersarisingoutofandrelatedtothisconfidentialitycommitmentletter(whetherincontract,tortorothers)shallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Ifweorourpersonnelviolatethiscommitmentletter,CICshallhavetherighttoholdusaccountableinaccordancewiththelaw.Ifthepartiesareunabletosettleanydisputearisingoutoforinconnectionwiththisconfidentialitycommitmentletterthroughnegotiationwithin30days,suchdisputeshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationinBeijing,subjecttoitsrulesofarbitrationineffectatthetimeofthesubmissiontoarbitration,unlessotherwiseexpresslyprovidedherein.Thearbitraltribunalshallconsistofthreearbitrators,eachpartyshallappointonearbitratorandthethirdarbitratorshallbeappointedbybothpartieswithmutualagreementasthepresidingarbitrator.IfnoagreementcanbereachedwithinthetimeperiodrequiredbyCIETAC,thepresidingarbitratorshallbeappointedbytheChairmanofCIETAC.Thearbitralawardshallbefinalandbindinguponbothparties.

3.本招標(biāo)項(xiàng)目不接受聯(lián)合體遞交投標(biāo)文件。
4.投標(biāo)人應(yīng)符合以下資格要求：
第1包：基金、跟投賬戶和跟投項(xiàng)目法律服務(wù)
(1)投標(biāo)人和合作伙伴（如有）應(yīng)為來(lái)自中華人民共和國(guó)或是與中華人民共和國(guó)有正常貿(mào)易往來(lái)的國(guó)家（略）的法人或其他組織，按照所在國(guó)家（略）的法律依法成立，在法律和財(cái)務(wù)上獨(dú)立、合法運(yùn)作，并獨(dú)立于招標(biāo)人：（略）
(2)投標(biāo)人應(yīng)具有獨(dú)立簽訂合同的資格和完全履行合同的能力；
(3)投標(biāo)人和合作伙伴（如有）近三年（自2021年8月22日起至投標(biāo)截止日）沒(méi)有因違法違規(guī)受法院、監(jiān)管機(jī)構(gòu)等的調(diào)查、處罰；

(5)投標(biāo)人擁有美國(guó)稅法、（略）法及沃克爾規(guī)則、美國(guó)證券法以及美國(guó)外資安全審查（CFIUS）等全部領(lǐng)域的專(zhuān)業(yè)服務(wù)能力或者在前述領(lǐng)域具有同等資質(zhì)的合作伙伴能夠提供服務(wù)；

第4包：常年法律服務(wù)（離岸）
